Welcome to Flarif Tech Limited ("Flarif," "we," "us," or "our"). These Terms of Service ("Terms") govern your use of our services, including software consulting, software development, AI development and integration, tech seminars, talent recruitment, UI/UX design, web development, and related offerings (collectively, "Services"). By accessing or using our Services, you ("Client" or "you") agree to comply with these Terms. If you disagree, refrain from using our Services.
1. Acceptance of Terms
By engaging Flarif, you confirm acceptance of these Terms and any future amendments. Continued use after updates constitutes agreement. Minors are prohibited from using our Services.
2. Services Offered
- Software Consulting: Strategic planning, system audits, and technical guidance.
- Software Development: Custom solutions, including web/mobile apps and enterprise systems.
- AI Development & Integration: AI model creation, machine learning, and automation.
- Tech Seminars: Workshops and training sessions.
- Talent Recruitment: IT staffing and candidate sourcing.
- UI/UX Design & Web Development: User-centric interfaces and websites.
3. Client Responsibilities
- Provide accurate project requirements and timely feedback.
- Supply necessary materials (data, branding assets, etc.).
- Ensure compliance with applicable laws and licenses.
- Appoint a representative for project decisions.
4. Payment Terms
- Fees: Outlined in proposals, SOWs, or invoices.
- Payment Schedule: Invoices are payable within 30 days; late payments incur 1.5% monthly interest.
- Taxes: Your responsibility unless stated otherwise.
- Consequences: Non-payment may result in service suspension.
5. Intellectual Property (IP)
- Pre-existing IP: Flarif retains rights to tools, frameworks, and proprietary tech used.
- Deliverables: Ownership transfers to you upon full payment, excluding third-party/open-source components.
- License: Flarif may use anonymized project data for portfolio or marketing, unless otherwise agreed.
6. Confidentiality
- Protect confidential information (e.g., business plans, code, client data).
- Use such information solely for project purposes.
- Maintain obligations for [X] years post-termination.
7. Limitation of Liability
- Flarif's liability is capped at fees paid in the preceding 6 months.
- We are not liable for indirect, incidental, or consequential damages.
- Third-party services are governed by their own terms.
8. Termination
- Either party may terminate with 30 days' written notice.
- Material breaches allow immediate termination.
- Upon termination, you pay for completed work and return Flarif's confidential materials.
9. Dispute Resolution
Disputes will first be resolved amicably. Unresolved issues shall be settled in courts in Lagos, Nigeria, under Nigerian law.
10. Amendments
Flarif may update these Terms periodically. Changes will be posted on our website or communicated via email. Continued use implies acceptance.
11. Third-Party Services
We may integrate or recommend third-party tools (e.g., APIs, CMS). Flarif is not responsible for their functionality, security, or compliance.
12. Force Majeure
Neither party is liable for delays/cancellations due to unforeseen events (e.g., pandemics, natural disasters).
13. General
- Severability: If a provision is invalid, the remainder remains enforceable.
- Entire Agreement: These Terms supersede prior agreements unless stated in a signed SOW.
